Purchases are processed by Lemon Squeezy as merchant of record. Software use is also governed by the Abyssal Audio End User License Agreement.
1. Acceptance
These Terms of Sale and Website Use (“Terms”) are a legal agreement between you and Abyssal Audio. They govern your use of abyssalaudio.com, related pages and downloads, and your purchase of Abyssal Audio digital products.
By using this website, placing an order, downloading a product, or starting a trial, you agree to these Terms. If you do not agree, do not use the website or acquire a product.
You must be legally capable of entering a contract. If you act for a business or other organization, you represent that you have authority to bind it.
2. Merchant of record and checkout
Abyssal Audio currently uses Lemon Squeezy as the merchant of record and authorized reseller for purchases. Lemon Squeezy processes checkout, payment, taxes, receipts, order administration, and certain refund or chargeback matters under the terms presented at checkout.
Your purchase transaction is with the merchant of record. Abyssal Audio remains the licensor and supplier of the Software. The Software is licensed, not sold, under the Abyssal Audio End User License Agreement (“EULA”).
You are responsible for providing accurate checkout and contact information. Abyssal Audio does not receive or store your full payment-card number.
3. Products, prices, and orders
Product descriptions, system requirements, formats, features, availability, and prices may change before an order is completed. The description and price presented at checkout control that order.
An order may be declined or canceled for suspected fraud, payment failure, legal restrictions, pricing or listing errors, product unavailability, or other legitimate reasons. If payment was captured for a canceled order, the merchant of record will handle the reversal or refund as required.
Taxes and currency conversion are handled by the merchant of record and may depend on your location and payment method.
4. Software licenses and trials
Each paid product is licensed under the EULA displayed before or with the Software. The EULA controls installation rights, activation limits, permitted commercial use, restrictions, ownership, termination, warranties, and liability relating to the Software.
A trial, when offered, is a temporary evaluation license. Its duration begins when you deliberately start or activate it. Attempting to reset, extend, or bypass the trial violates these Terms and the EULA.
A purchase does not transfer ownership of the Software, source code, neural models, DSP, artwork, factory assets, or other intellectual property.
5. Digital delivery and system responsibility
Products are delivered electronically through a download, customer portal, order email, license system, or another method identified at purchase. You are responsible for retaining your order information and maintaining access to the email address used for purchase.
You are responsible for checking the published operating-system, host, plugin-format, processor, and other system requirements before purchasing. Unsupported systems are not promised compatibility.
If delivery or activation fails, contact support@abyssalaudio.com with the order details and relevant system information so the issue can be investigated.
6. Refunds
Because Abyssal Audio products are digital goods that provide immediate access to downloads and license rights, all sales are final except as stated in the Refund Policy, required by applicable law, or determined by the merchant of record under its own obligations and policies.
The current Refund Policy is incorporated into these Terms. A refund, reversal, or chargeback may result in the related license being deactivated.
7. Website use
You may use this website for lawful personal or business purposes related to evaluating, purchasing, downloading, and obtaining support for Abyssal Audio products.
You may not interfere with the website or its security, probe or access non-public systems without authorization, automate abusive requests, distribute malware, impersonate another person, scrape protected content, or use the website to violate law or another person’s rights.
8. Intellectual property
The website, product names, branding, artwork, copy, downloads, documentation, and Software are owned by Abyssal Audio or its licensors and are protected by intellectual-property laws.
No right is granted to reproduce, republish, sell, distribute, or create derivative works from website or product materials except as expressly allowed by the EULA or written permission from Abyssal Audio.
Third-party names and marks remain the property of their respective owners. References used to identify tonal inspiration do not imply affiliation, sponsorship, or endorsement.
9. Third-party services
The website may link to or rely on third-party services, including checkout, email, hosting, and licensing providers. Their services are governed by their own terms and privacy policies.
Abyssal Audio is not responsible for an independent third party’s systems, content, availability, or conduct, but will provide reasonable assistance with an Abyssal Audio order or license issue.
10. Website disclaimer
To the maximum extent permitted by law, the website and its content are provided “as is” and “as available.” Abyssal Audio does not warrant uninterrupted access, error-free content, or compatibility with every device or browser.
Product audio, descriptions, and demonstrations are provided to help evaluation but cannot guarantee identical results on every instrument, performance, signal chain, host, or monitoring system.
Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.
11. Limitation of liability
To the maximum extent permitted by law, Abyssal Audio will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost recordings, lost data, or business interruption arising from the website, an order, or a digital product.
To the maximum extent permitted by law, Abyssal Audio’s total aggregate liability arising from these Terms will not exceed the amount paid for the specific product or transaction giving rise to the claim.
These limitations do not apply to liability that cannot lawfully be limited or excluded.
12. Governing law and disputes
These Terms are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-law rules.
A dispute may be brought in a court of competent jurisdiction located in Texas, except where applicable consumer law requires another forum. This agreement does not require arbitration and does not contain a class-action waiver. Either party may use small-claims court when the claim qualifies.
13. General terms
If a provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver.
Abyssal Audio may update these Terms to reflect changes in products, providers, operations, or law. The effective date above identifies the current version. Material changes will not retroactively remove rights that cannot lawfully be changed without consent.
